Terms & Conditions
These terms and conditions (these “Terms”) are applicable as between Amazon Asia-Pacific Holdings Private Limited (“Amazon”, “we”, “us” or “our”) and the event participant (“Participant”, “you” or “yourself”) in relation to the participation of Participant in the Amazon Seller Summit event hosted or organized by or on behalf of Amazon (“Event”).
The Participant hereby agrees to these Terms:
*Privacy and Data Collection*
You consent that Amazon may collect, use and disclose the personal data you provide in this form to administer your registration for this Event and for statistical, analysis, and planning purposes. You consent that we may disclose: aggregate participant data to speakers to tailor their presentations for this event; aggregate participant data for publicity purposes. We collect, use, and disclose your personal data in accordance with the Personal Data Protection Act 2012.
*Identity Verification Disclosure*
For purposes of authenticating Participants’ identities and protecting our customers, Amazon may require you to provide certain information about you and your business, including your name, email address, estimated annual online revenue, number of products, product category, business type and phone number (the “Information”) during the registration process. The Information we collect from you may be verified, stored, and managed by Amazon, our affiliates and third-party vendors. As a result, the Information may be transmitted outside of your country of residence (including to our affiliates in the United States of America or other countries for which you register or use our services). For detailed information about Amazon’s privacy policies, please refer to our Privacy Notice. If you do not wish to provide the Information to us, please do not proceed with submitting this form.
*Confidentiality*
During the Event, you may receive Confidential Information. You agree that: (a) all Confidential Information will remain Amazon's exclusive property; (b) you will not disclose Confidential Information to any other person except as required to comply with applicable laws; and (c) you will take all reasonable measures to protect the Confidential Information against any use or disclosure that is not expressly permitted in these Terms. You may not issue any press release or make any public statement related to the Event, or use our name, trademarks, or logo, in any way (including in promotional material) without our advance written permission, or misrepresent or embellish the relationship between us in any way.
*Recordings*
You acknowledge that during the Event, you may be featured in photos, videos and/or other materials created by or on behalf of Amazon. You grant us, our affiliates, and our independent contractors the right to record, film, photograph, and capture your voice and image in any media at the Event (the “Recordings”). You grant us and our affiliates, agents, employees, and assigns an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, reproduce, modify, distribute, and translate, for any purpose relating to our business, all or any part of the Recordings. We may edit the Recordings, use them alone or together with other information, and allow others to use and disseminate them. To the maximum extent permitted by law, you waive any moral rights you may have in the Recordings. You represent and warrant that you have the necessary rights and permissions to grant the license in this section. You consent to the use of the Recordings pursuant to the foregoing in perpetuity without compensation (unless prohibited by applicable law, including the Personal Data Protection Act 2012) or additional consents from you. You acknowledge and agree that Amazon will not compensate you, your successors, licensees or assigns for any use of the Recordings. You agree that you will not, through participation in the Recordings, and through these Terms, have acquired any rights in the Recordings and/or Amazon intellectual property.
*Assumption of Risk*
You acknowledge and agree that your attendance and participation in the Event is voluntary, and you understand the nature of the Event. To the maximum extent permitted by law, you agree that you solely assume the risks associated with you attending and participating in the Event.
*Release of Claims*
To the maximum extent permitted by law, you hereby release Amazon and its affiliates, successors and assigns, and their respective directors, officers, employees, contractors, representatives, agents, from any and all claims, demands, causes of action, suits, damages, losses, debts, liabilities, costs and expenses (including without limitation reasonable attorneys’ fees and costs), whether known or unknown, whether or not concealed or hidden, which you may have now or in the future associated in any way with the Event or the Recordings.
*Variation*
Amazon reserves the right to amend or vary any of these Terms and the Event without prior notice to any Participant. Amazon further reserves the right, without any liability to any participant(s), to disqualify any participant(s) from attending and/or participating in the Event at any time at its sole discretion.
*Indemnity Clause*
The Participant shall indemnify and keep Amazon and its related/affiliated companies, officers, agents and employees (the “Indemnified Parties”) fully indemnified against any and all loss, damage, claims, and costs (including legal costs on a full indemnity basis) suffered and/or incurred by any of the Indemnified Parties as a result of the Participant’s breach of any of these Terms.
*Governing Law and Disputes*
The laws of Singapore, without regard to principles of conflict of laws, will govern these Terms and any dispute of any sort that might arise between you and Amazon. Any dispute or claim relating in any way to these Terms will be resolved by binding arbitration, rather than in court. To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to Amazon Asia-Pacific Holdings Private Limited, Attn: Legal Department, 23 Church Street, Capital Square, 10th Floor, Singapore 049481. The arbitration will be conducted by the Singapore International Arbitration Centre (the ""SIAC"") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre in effect at the time of your request (the ""Rules""), which Rules are deemed to be incorporated by reference into these Terms (except as such Rules conflict with the provisions of these Terms, in which event the provisions of these Terms shall prevail). The seat and venue of the arbitration will be Singapore, and the language of arbitration shall be English. The arbitral tribunal shall comprise one arbitrator nominated jointly by Amazon and you, or failing such joint nomination, by the President of the SIAC for the time being. Any decision or award of the arbitral tribunal shall be final and binding upon the parties. The parties hereby agree to waive (to the fullest extent permitted by law) any right of application or appeal to any court or tribunal of competent jurisdiction in connection with any question of fact or law arising in the course of any arbitration or from any arbitral award or order. Notwithstanding anything to the contrary in these Terms, Amazon and you both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.
*Severability*
If any portion of these Terms is held to be invalid or unenforceable, the remaining portions of these Terms will remain in full force and effect. Any invalid or unenforceable portions will be interpreted to effect and intent of the original portion. If such construction is not possible, the invalid or unenforceable portion will be severed from these Terms, but the rest will remain in full force and effect.
*Interpretation*
For the purposes of these Terms: “affiliate” means any entity that directly or indirectly Controls, is Controlled by or is under common Control with Amazon. “Control” means the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of an entity, whether through the ownership of voting securities or otherwise. “Confidential Information” means all non-public information relating to Amazon or disclosed by Amazon or its affiliates to you, your affiliates (where applicable) or your agents that is designated as confidential or that, given the nature of the information or the circumstances surrounding its disclosure, reasonably should be considered as confidential.
